On the surface, the logic is understandable. You know the business better than anyone, you may already have industry contacts, and avoiding advisory fees can feel like a sensible way to preserve value.

In practice, however, the difference between a self-managed sale and a professionally run process is rarely marginal. More often, it is decisive.

One of the most common misconceptions is that selling a business is simply a matter of identifying a buyer and agreeing a price. In reality, the process is far more involved.

. Managing this balance is critical, particularly where confidentiality is concerned.

“Confidentiality is key,” Campbell-Jones notes, pointing out that using an intermediary allows a business to be marketed without revealing its identity prematurely.

From there, attention turns to identifying and approaching potential buyers. This is often where owner-led sales begin to narrow. Sellers tend to focus on a small number of familiar names, perhaps a competitor or an industry contact, rather than stepping back to consider the wider market.

The result is a process that lacks breadth.

At the same time, the demands of running the business continue. Responding quickly to enquiries, maintaining momentum, and progressing discussions all require time and focus, something that can be difficult to sustain alongside day-to-day operations.

This is where the role of a broker begins to change the shape of the process.

Rather than relying on a handful of known buyers, a structured approach opens the business to a much wider audience. And that audience is often broader than many owners initially expect

“There are quite a wide range of buyers out there,” Campbell-Jones explains, from 

Access to these different buyer groups is not simply about increasing visibility, it fundamentally alters the dynamics of a sale. Instead of negotiating with one or two interested parties, multiple buyers can be engaged at the same time and brought through the process in parallel.

“it brings quite a number of buyers to the process at the same time… so that they can make offers at the same time, and you can choose the best overall offer and deal structure.”

Having options in front of you at the same point in time creates clarity. It also creates leverage.

When several buyers are progressing simultaneously, what emerges is known as competitive tension.

“Competitive tension is when you have several buyers in the process at the same time, all looking to make offers,” Campbell-Jones explains.

In practical terms, this shifts behaviour. Buyers are less likely to delay or test the boundaries with lower offers when they know others are involved . Instead, they are encouraged to put forward their strongest position earlier in the process.

At the same time, the presence of other bidders provides reassurance. As Campbell-Jones notes, 

“if they know there are other bidders in the ring, it gives them confidence that… it is an attractive acquisition to be making.”

There is, however, a balance to strike. A process that feels overly aggressive can deter buyers, while one that lacks competition can reduce urgency. Managed well, competitive tension becomes one of the key drivers of both value and deal quality

Another important consideration is that the most suitable buyer is not always the most obvious one.

While many owners can identify a shortlist of potential acquirers, a full market process often reveals buyers they would not have considered. These may be businesses operating in

“In most cases,” Campbell-Jones explains, 

“going out to the full market will result in bringing in a buyer that is different to whom the seller might have thought.”

This is not just a matter of variety. Different buyers bring different motivations, and those motivations often shape both valuation and deal structure

“you might end up selling to a firm that you just wouldn’t have thought of in the first case.”

This is where many owners focus too heavily on valuation.

“A lot is made of valuation,” says Campbell-Jones, but he cautions sellers to be 

“wary of selecting a broker on the basis of the highest valuation that’s quoted.”

In reality, value is determined by the market once buyers are engaged, not by initial estimates. A more meaningful assessment looks at how the sale will be executed, how the business will be positioned, which buyers will be approached, and who will be managing the process.

“It’s quite an involved process selling a business,” he notes, 

“so you do need to make sure that you’re comfortable working with your deal leader.”

Experience, process, and alignment often matter far more than headline numbers at the outset.

Selling a business is not simply a transaction. It is a structured process that, when managed effectively, creates options, builds competition, and ultimately leads to better outcomes.

Handling the sale independently may appear efficient, but it often limits reach and reduces leverage at critical points in the process.

By contrast, a broader, professionally managed approach opens the market and allows sellers to make decisions from a position of strength.

And in a decision of this scale, that difference can be significant.

Selling Your Business: Why Going it Alone Often Costs More Than it Saves

When business owners begin exploring a sale, conversations naturally centre around valuation. For many sellers, the headline number quickly becomes the benchmark against which every offer is judged 

. If a buyer values the business at £5 million, the assumption is often that £5 million will arrive on completion.

In reality, however, valuation is only part of the story.

 level, very few transactions are fully paid upfront. Most involve some form of 

, where part of the value is received on completion and the remainder is paid over time, often subject to conditions linked to future performance. As a result, the structure of a deal can ultimately matter just as much as the headline valuation itself.

For sellers approaching a transaction for the first time, this often requires a significant shift in mindset. Rather than focusing purely on the valuation being offered, attention has to move towards a more practical question: how much of that value is genuinely secure, when will it be received, and under what conditions?

“You need to stop focusing on the number,” Sykes says, 

“and shift that mindset to what you’ll actually receive, when, and under what conditions.”

When acquiring a business, buyers are not only purchasing historic financial performance. More importantly, they are assessing whether that performance is sustainable once ownership changes hands. Questions around recurring revenue, customer concentration and dependence on the current owner all influence how much certainty a buyer is prepared to offer.

“What buyers are looking at,” Sykes explains, 

“is what the business will do in the future and what the risk around the sustainability… of that performance continuing.”

Businesses with broad customer bases, recurring revenues and limited reliance on the founder naturally tend to attract stronger terms. By contrast, companies with concentrated revenues or heavy owner dependency often lead buyers to seek additional protection through structured payments.

“The more uncertainty there is,” Sykes notes, 

“the more structure you tend to see in a deal.”

Financing also plays a role. Even experienced buyers rarely commit all of their own capital to an acquisition, particularly in the SME market where 

 is common. That alone is not necessarily a concern. More important is understanding how much risk the buyer is genuinely sharing.

“If a buyer has no personal risk,” Sykes warns, 

“then really that shifts all the risk to the seller.”

At the same time, buyers who commit all of their capital upfront also assume significant exposure themselves. In practice, most deals sit somewhere between those two extremes, with the structure acting as a mechanism for balancing risk between both parties

Understanding Earn Outs and Deferred Payments

In practice, most deferred structures fall into two broad categories. The first is straightforward deferred consideration, a fixed, legally binding commitment to pay agreed amounts over a defined period following completion. While payment is delayed, the amount itself is not usually tied to future trading performance.

The second, and often more heavily negotiated structure, is the 

. Here, part of the consideration becomes conditional on the business achieving agreed financial targets after completion, typically linked to revenue or profitability 

Earn out or burn out? A pricing mechanism for future performance

Although earn outs are often viewed negatively by sellers, Sykes argues they can work well when structured properly, particularly alongside meaningful upfront cash consideration.

“Earn outs can be extremely positive,” he explains, 

“particularly if there is a mix of fixed and earn out consideration.”

When expectations are realistic and incentives are aligned, earn outs can allow sellers to participate in future upside while also giving buyers reassurance around performance continuity. The challenge, however, is that they inevitably introduce greater uncertainty.

“It moves the outcome from guaranteed value to conditional value,” Sykes says, 

“which is always going to be more challenging for the seller.”

That is why the credibility of any targets becomes critical 

. A superficially attractive valuation can quickly become far less appealing if the conditions attached to future payments are unrealistic or heavily dependent on factors outside the seller’s control.

Contingent payments: compensation or consideration transferred

One of the most common misconceptions around deferred consideration is that buyers intentionally structure deals simply to avoid paying sellers later. In reality, Sykes argues, problems usually arise because deals are badly aligned or poorly structured.

“The earnouts don’t fail just because they exist,” he says. 

“They fail because they’re badly structured or badly aligned.”

In many cases, issues emerge because the buyer lacks sector experience or the business itself carries operational risks, such as customer concentration or excessive founder dependency. Sellers can also become vulnerable if they accept aggressive structures without proper protections in place.

A major part of the negotiation process therefore involves ensuring appropriate safeguards are built into the transaction documents, particularly around operational control and financial management after completion. These protections are often negotiated through the 

“It’s so easy to miss them,” Sykes says, 

“and even experienced legal people often do miss them.”

The quality of advice during this stage can materially influence the eventual outcome for the seller, particularly where earn outs or longer-term deferred payments are involved 

Preparing to exit your business: It’s your life’s work. Value it.

Ultimately, one of the most important judgements in any transaction is balancing headline valuation against certainty of cash.

“Cash at completion is the only ultimate certainty,” Sykes explains.

This means the highest offer is not always the best offer. A lower valuation with substantial upfront cash and realistic terms may ultimately prove more valuable than a larger headline figure tied to aggressive earn out conditions and limited buyer commitment 

Contingent Considerations – Accounting & Business Considerations

“The best deal isn’t always the highest number,” Sykes says. 

“It’s what you actually realise at the end of it.”

Assessing that properly requires more than simply comparing valuations. Sellers must consider the strength and experience of the buyer, the achievability of future targets and the level of certainty attached to the deal structure itself.

Because in the end, the value of a deal is not defined by the number on the first page of an offer, but by what ultimately arrives in the seller’s bank account.

Headline valuation rarely reflects final proceeds.

Why Deal Structure Matters More than Headline Valuation

Most business owners have a number in their head. It may be based on what a competitor sold for, what an accountant once mentioned, or simply what they feel the years of effort are worth. What it is rarely based on is a rigorous understanding of how buyers actually assess value. The gap between those two figures is where deals either come together or fall apart

It is the most useful thing a seller can hear at the start of a valuation conversation, because it reframes the question entirely: not what do I think this is worth, but what will a buyer actually pay, and what drives that figure.

Why Valuation Is Never a Straightforward Question

The first thing Caplin makes clear is that arriving at a 

 value is not a single calculation. It requires understanding the workings of the business, what creates value within it, and what the balance sheet and profit and loss account look like both currently and historically

"You need to understand the workings of the business, what creates value in the business, what their balance sheet and profit and loss account looks like both currently and historically," he explains. Only once those elements are understood can the right valuation methodology be identified. And that methodology varies significantly depending on the type of business being assessed.

The aim is always to arrive at an indicative value that reflects what a buyer would reasonably pay, given the specific characteristics of that business. Getting there requires time, honesty, and a willingness to look at the numbers without sentiment.

Caplin identifies three primary approaches used when valuing a trading business, and the choice between them depends on the nature of the business itself.

The first is cash flow. Where a business generates significant cash, a buyer may place more weight on that than on profitability alone, because available working capital has direct value for growing the business post-acquisition.

The second is net assets. Where a business holds significant assets on its balance sheet, whether property, plant, or equipment, assessing value on profitability alone would be misleading. The asset position must be factored in.

The third, and most common for trading businesses, is a multiple of 

. "Most trading businesses are sold on a multiple of EBITDA," Caplin confirms. EBITDA, earnings before interest, depreciation, taxation, and amortisation, is typically calculated on a normalised basis to reflect the genuine underlying profitability of the business, either over a period of time or in the current year. The multiple applied to that figure then reflects the level of investment a buyer is prepared to make

If EBITDA is the foundation of a valuation, the multiple is where the real variation lies. That multiple is shaped by a combination of factors, some structural, some market-driven

"If there's a lot of customer concentration, a buyer is going to see that as high risk," Caplin explains, "because there will be heavy reliance on a small number of customers. And if any of those customers fall out of the business after an acquisition, they're not going to get the return on their investment they were looking for."

The quality of customers matters too. Whether they are blue-chip, gilt-edged accounts or higher-risk relationships has a direct bearing on how a buyer perceives the durability of the revenue base.

 is closely related. Businesses built on contracted, repeating income offer buyers a level of predictability that commands a higher multiple. "That revenue is going to recur year after year and will build," Caplin notes. A business without that contracted base requires buyers to assume more uncertainty about future performance, and uncertainty is priced as 

Owner dependency works in a similar direction. Where a business is heavily dependent on the owner for client relationships or technical delivery, a buyer faces the prospect of acquiring something that may not perform as well once that owner departs. That perception suppresses the multiple.

Industry dynamics also play a role. "Certain industries are in vogue from time to time, and there are buyers looking to buy in those industries and they will pay more," Caplin says. Staying close to what 

 are being paid across different sectors is a core part of how a good broker advises sellers on realistic expectations.

The most common mistake, in Caplin's experience, is not entering the process with an inflated number. It is failing to take advice early enough to understand what a realistic number looks like

"If a seller is thinking of going to market, they should take advice early and understand how the valuation model will work for them," he says. When expectations and reality are aligned before the process begins, the path to a deal is considerably smoother. When they are not, the business goes to market at a price buyers will not pay, sits unsold, and eventually has to be repriced, by which point it has acquired a stigma that makes the next attempt harder.

Caplin is direct about how Hornblower handles this. "We'd be very honest about where we feel the valuation range will lie. And if we find that a seller has expectations that we don't think are achievable, we will tell that seller." Exceptions exist: industries with strong buyer demand can produce outcomes above what the model suggests. A good broker will explain both the likely range and the conditions under which a higher figure might be achievable.

For owners with time before a sale, the preparation priorities are clear. Maximising EBITDA is the most direct lever: every pound of additional normalised profit feeds directly into the valuation. Spreading customer concentration reduces perceived risk. Removing dependencies, on the owner, on a small number of clients, or on a single product line, increases the multiple a buyer is prepared to apply.

"The sooner they start looking at the model, the better," Caplin advises. That early view of the valuation allows owners to identify the gaps between where their business currently sits and where it needs to be to achieve the outcome they want.

Not everyone has that time. Sometimes an unsolicited approach arrives before any preparation has taken place. In those situations, the broker's job is to represent the business as it would look had it been prepared for sale. "It's our job to try and negotiate with the buyer and let them understand what the real profitability of the company is," Caplin explains 

M&A Volume Expected to Surge This Year Despite Economic Uncertainty

The underlying principle is consistent: the earlier an owner engages with the valuation question seriously, the better placed they will be when the moment to sell actually arrives.

A business is worth what a buyer is prepared to pay:

 Valuation models provide an indicative range, but the final price is always determined by the market. Understanding this early prevents costly misalignment between seller expectations and buyer appetite.

Most trading businesses are valued on a multiple of EBITDA:

 The multiple applied reflects both the quality of the business and the demand for acquisitions in that particular sector at that point in time.

Customer concentration, recurring revenue, and owner dependency all move the multiple:

 These factors directly affect how a buyer perceives risk, and risk is priced into every offer.

Sellers who go to market with unrealistic expectations waste time and lose credibility:

 A good broker will be honest about the likely valuation range before any process begins, and will push back on expectations they do not believe are achievable.

The sooner an owner starts preparing, the better the outcome:

 Maximising earnings, spreading customer risk, and tidying up the business takes time. Those who start early are in a far stronger negotiating position than those who receive an unexpected approach.
